Public Offer.

This Public Offer (the Offer) is addressed to an unlimited circle of natural persons (the Buyer) and contains the essential terms of a retail sale agreement for dietary supplements (БАД, the Goods) sold through the online store at universevitamins.com (the Site).

The Seller under this Offer is Товарищество с ограниченной ответственностью «Universe Pharma (Юниверс Фарма)», BIN 230540026088, registered address: Republic of Kazakhstan, 050026, Almaty, Baizakov str. 202, room 32 (the Seller).

The Offer is accepted by placing an order on the Site and paying for it as described below. Acceptance must be complete and unconditional; partial acceptance or acceptance with reservations is not allowed. Upon acceptance, a retail sale agreement on the terms set out below is deemed concluded between the Seller and the Buyer.

The Seller undertakes to transfer ownership of the Goods chosen by the Buyer on the Site, and the Buyer undertakes to accept the Goods and pay the price displayed at the moment of order placement.

The Goods are dietary supplements (БАД) of industrial production. Each SKU has passed state registration (EAEU State Registration Certificate — СГР) and complies with EAEU technical regulations TR CU 021/2011, TR CU 022/2011, TR CU 029/2012.

Prices are displayed on the Site in Kazakhstani tenge (KZT), inclusive of all applicable taxes. The price is fixed at the moment the order is placed; subsequent price changes on the Site do not apply to orders already placed and paid.

Payment is made by the Buyer in non-cash form via the internet-acquiring gateway of JSC Bank CenterCredit (BCC). Additional payment methods may be listed on the checkout page.

The payee is the Seller. Account details are provided in the order-confirmation email.

A fiscal receipt is issued electronically to the email address provided at checkout, in compliance with the Tax Code of the Republic of Kazakhstan.

To place an order, the Buyer adds the chosen Goods to the cart, fills in the required fields (last name, first name, contact phone, delivery address, email), and confirms acceptance of this Offer and the Privacy Policy by ticking the corresponding box.

The order is considered placed upon receipt of full payment. Order confirmation is sent to the Buyer's email within one business day.

The Seller reserves the right to refuse fulfilment if the Goods are out of stock, a technical pricing error has occurred, or other circumstances make performance impossible. In this case the paid amount is refunded in full within five business days.

Title and the risk of accidental loss or damage pass to the Buyer at the moment the Goods are handed over to the Buyer or a person designated by the Buyer.

Every batch is accompanied by quality and safety documents (СГР, specification, test protocol). Electronic copies are linked on the corresponding product pages and available for download.

Shelf life and storage conditions are printed on consumer packaging and stated in the State Registration Certificate.

The Buyer is entitled to refuse Goods of proper quality within 14 (fourteen) calendar days of delivery under Article 30 of the Law of the Republic of Kazakhstan «On consumer rights protection» (№ 274-IV of 04.05.2010), subject to the list of non-food goods of proper quality not subject to exchange or return.

Returns of proper-quality Goods are accepted only if the marketable condition, consumer properties, original packaging, labels and proof of purchase are preserved. Dietary supplements whose individual (consumer) packaging or protective seal has been broken are not accepted for return.

If a material defect is found in the Goods (packaging integrity broken at handover, expired shelf life, signs of non-conformity with the label), the Buyer is entitled to demand replacement with conforming Goods or a refund. Replacement is performed within 14 business days of the Seller receiving the returned Goods and the Buyer's written request.

The Parties bear liability for non-performance or improper performance of obligations under this Offer in accordance with the laws of the Republic of Kazakhstan.

The Seller is not liable for individual intolerance of the components of the Goods, adverse reactions caused by the Buyer's deviation from the recommended dosage or contraindications stated on the packaging and in the instructions, or by combined use with medicines without consulting a doctor.

The Parties are released from liability for partial or full non-performance caused by force-majeure circumstances arising after the agreement was concluded.

The Seller warrants conformity of the Goods to the requirements applicable in the Republic of Kazakhstan for the category of dietary supplements, as well as to the manufacturer's technical specifications and the State Registration Certificate (СГР). The corresponding СГР documents are available as PDF on each product page.

Shelf life: the shelf life of each item is stated on the packaging and on the product page. The Seller ships Goods only when their remaining shelf life is no less than 6 months prior to expiry.

Quality warranty: the Seller is responsible for integrity, correct labelling and conformity to the stated physical characteristics of the Goods at the moment of handover to the Buyer. If defects caused by storage or production failures are found, the Buyer is entitled to demand replacement or a refund per the procedure in section 07.

Delivery-time warranty: delivery times are disclosed in sections 04 and 02 of the «Delivery & Returns» page. If the Seller breaches those times through its fault, the Buyer may rescind the agreement unilaterally and demand a full refund.

By placing an order on the Site, the Buyer consents to processing of personal data in the scope and for the purposes set out in the Privacy Policy, which forms an integral part of this Offer and is governed by the Law of the Republic of Kazakhstan «On personal data and its protection» of 21.05.2013 № 94-V.

This Offer takes effect upon publication on the Site and remains in force until withdrawn by the Seller. The Seller may amend the Offer unilaterally by publishing a new revision on the Site; previously concluded agreements are governed by the revision in force at the moment of acceptance.
